Spin-off of Snke Holding SE from BrainLab AG

The following announcement and the information provided are subject to the express proviso that the spin-off is entered in the commercial registers of Snke Holding SE on 5 June 2025 and BrainLab AG on 6 June 2025 and thus becomes effective.
On the evening of 17 June 2025, with value date
18 June 2025
the allocation of the registered shares of BrainLab AG (ISIN DE0005207906) at a ratio of 1:1 into Snke Holding SE registered shares (ISIN DE000A40ZUU4) will be automatically booked by Clearstream Banking AG1.
Details on the procedure of the spin-off of Snke Holding SE were published in Wertpapier-Mitteilungen and the Federal Gazette (Bundesanzeiger) on 12 June 2025.
Registration of the shareholders via re-registration
The depository banks in CASCADE-RS can enter corresponding re-registrations in CASCADE-RS using the re-registration type "2" ("other not from purchase").
Reimbursement
For re-registrations that are transmitted from 18 June 2025 to 24 June 2025, CBF calculates a discounted price of EUR 0.30 per position. After this time period, CBF clients will be reimbursed accordingly.
Information on submission planning
Due to the processing capacities in CASCADE-RS, submissions amounting to 10,000 re-registrations or more per transfer must be arranged in advance with Client Services. Within the scope of overall coordination, CBF reserves the right to reject file transfers that have not been arranged in advance.
